Our website and related services offer Non-Fungible Tokens (NFTs) minting, web hosting and contracting services between users. These Terms of Use ("Terms") govern your access to and use of our Services. By accessing or using the Services, you agree to be bound by these Terms.

Before using our Services, you must agree to our Terms and Privacy Policy. If you do not agree, you may not use the Services.

Prohibited Conduct

Termination

uHired may suspend or terminate your access to the Services at any time, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.

Disclaimer of Warranties

The Services are provided "as is" and "as available”, without any warranties of any kind, whether express or implied. uHired disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

uHired will not be held responsible for any indirect, incidental, special, consequential, or punitive damages that may arise from the use or inability to use the Services. This includes, but is not limited to, damages for loss of profits, goodwill, use, data, or any other intangible losses.

Indemnification

By using the Services provided by uHired, you agree to hold harmless and indemnify uHired and its affiliates, officers, directors, employees, agents, and licensors from any and all claims, liabilities, damages, losses, costs, expenses, or fees, including reasonable attorneys' fees, resulting from your violation of these Terms or your use of the Services.

Force majeure

uHired will not be held liable to the Customer in case it is unable to fulfill its obligations under this agreement due to events or circumstances beyond its control, such as strikes, lockouts, failure of utilities or transport, wars, riots, civil disturbances, pandemics, endemics, compliance with laws or government orders, accidents, plant or machinery breakdown, fire, flood, storm or default of suppliers or sub-contractors. You will be informed of such events and the estimated duration of their impact.

Governing Law

These terms will be regulated and interpreted in accordance with the laws of the Republic of Portugal. Any dispute or claim, regardless of whether it is contractual or non-contractual and arising from or related to these terms or their subject matter or formation, will be regulated and interpreted in accordance with the law of the Republic of Portugal.

Severance

If any provision or part of this agreement is invalid, illegal, or unenforceable, it shall be deleted. However, the validity and enforceability of the rest of this agreement shall remain unaffected.

Jurisdiction

Both parties mutually agree that any dispute or claim arising out of or in connection with this agreement or its subject matter or formation (including non-contractual disputes or claims), shall be settled exclusively by the courts of the Republic of Portugal. The jurisdiction of the courts of the Republic of Portugal shall be irrevocable.

Changes to Terms

uHired may alter or substitute these Terms at any point in time. The updated Terms will be effective immediately upon being posted on the uHired website. By using the Services after the posting of any revised Terms, you accept those modifications.
